Congratulations on the purchase of your new Specialized Turbo Bike and thank you for purchasing the Turbo Service Plan (the “Plan”) offered by Specialized Bicycle Components, Inc. and/or its affiliates and subsidiaries (collectively, “Specialized”, “we”, “us” or “our”).  By purchasing the Plan, you agree to these terms and conditions (these “Terms”) and the Specialized Privacy Policy referenced in Section 6.  Please make sure to review these Terms fully and carefully so you are informed about your rights and obligations with respect to the Plan.  

  1. Eligibility; Cancellation.  
    1. The Plan is offered only to riders who have purchased a new Specialized Turbo bicycle (a “Turbo Bike”) from one of our participating owned retailers (each, an “Authorized Retailer”) on or after July 1, 2021.  The Plan is not offered on bicycles (e-bikes or otherwise) not purchased directly from one of our Authorized Retailers.  Whether or not the Plan is offered on a particular bicycle is at our sole and absolute discretion.  We reserve the right to refuse to offer the Plan to anyone for any reason.  The Plan does not include an option to renew, and the Plan is not sold for any duration other than as provided in these Terms.
    2. You or Specialized may cancel the Plan for any reason and at any time before the second Annual Service (as defined below) is performed.  The only remedy of such cancellation is a refund of the cost of the Plan, as follows: 
      1. If you or Specialized cancel the Plan before the first Annual Service is performed, Specialized will refund you the full cost of the Plan; and
      2. If you or Specialized cancel the Plan after the first Annual Service is performed but before the second Annual Service is performed, Specialized will refund you 50% of the cost of the Plan. 

Additionally, in the event that you or Specialized cancel the Plan prior to the performance of the second Annual Service, you shall not be eligible for the Warranty Extension, as defined below.

  1. Plan Services.  
    1. The Plan, when purchased with a new Turbo Bike from one of our Authorized Retailers, provides the original purchaser of the Turbo Bike and the Plan (i.e., you) with the following services and protections:
      1. One (1) annual service (“Annual Service”) at the end of each of the two (2) twelve (12) month periods following the date of the purchase of your Turbo Bike; and
      2. Provided each Annual Service has been completed by your Authorized Retailer, a one (1)-year extension of the original limited warranty provided by Specialized for your Turbo Bike (the “Limited Warranty”) but only with respect to certain electronic components and associated cabling on your Turbo Bike, as follows (the “Warranty Extension”):
        1. Motor, display(s), remote controls, OEM integrated lights, sensors, switches, cabling and any other electronic components which came originally equipped on your Turbo Bike for a total warranty period of three (3) years from the date of original retail purchase of your Turbo Bike; 
        2. Batteries originally equipped on your Turbo Bike, for a total warranty period of three (3) years from the of original retail purchase of your Turbo Bike.  During this time, batteries are designed to retain up to 75% of their original capacity within 300 charging cycles and up to 60% of capacity within 500 charging cycles;
        3. All other terms of the Limited Warranty for your Turbo Bike will remain in effect. Please refer to your Limited Warranty for a full list of terms and conditions; and
        4. If you sell or otherwise transfer ownership of your Turbo Bike following the completion of the second Annual Service, any subsequent owner of your Turbo Bike will get the same benefits of the Warranty Extension. 
    2. Each Annual Service includes the following services:
      1. Safety check;
      2. Strip, clean and lube the drivetrain;
      3. Polish frame;
      4. Tune / adjust the brakes;
      5. True / tension the wheels;
      6. Adjust shifting; and 
      7. Check torque on all bolts.  
    3. The Plan solely covers the services associated with each Annual Service and the cost of labor associated therewith, as set forth specifically above, and does not cover any costs, material, or labor associated with anything else, including without limitation replacing worn out, broken or damaged parts and/or components.
  2. Locations.  The Plan is honored exclusively at the Authorized Retailer where you purchased your Turbo Bike and the Plan.  The Authorized Retailer where the Plan will be honored is not transferrable under any circumstances. 
  3. Non-Transferrable.  Other than with respect to the Warranty Extension as set forth in Section 2(a)(ii)(4), the Plan is non-transferable under any circumstances and is only valid for the original owner of both the Turbo Bike and the Plan (i.e., you). We reserve the right to request the original purchase documentation at any time and may refuse coverage under the Plan for failure to provide such documentation. The Plan is not transferrable to a different bicycle (e-bike or otherwise), other than the Turbo Bike for which the Plan was originally purchased. The sale, change of ownership, loss, theft, or destruction of the original Turbo Bike for which the Plan was purchased immediately voids the Plan (other than with respect to the Warranty Extension as set forth in Section 2(a)(ii)(4)), for which no remedy is available.
  4. Coverage; Scheduling.   The decision as to whether or not a particular item is covered by the Plan is at our sole and absolute discretion.  In order to have your Turbo Bike serviced under the Plan, you must contact your applicable Authorized Retailer to schedule a service appointment in the same manner as those bicycles which are not covered by the Plan.  The Plan does not guarantee any priority or particular time frame for completion of service and the completion of each Annual Service is subject to standard scheduling and wait times.
  5. Privacy Policy.   By purchasing the Plan, you agree to the Specialized Privacy Policy which can be found at: https://www.specialized.com/us/en/privacy-policy. 
  6. No Warranty.  THE PLAN IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.  OTHER THAN AS EXPRESSLY PROVIDED HEREIN OR IN THE LIMITED WARRANTY MADE AVAILABLE TO YOU AT THE TIME OF THE PURCHASE OF YOUR TURBO BIKE, WE MAKE NO WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.  NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH THE PLAN SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. 
  7. Limitation of Liability.  TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) WE WILL UNDER NO CIRCUMSTANCES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OR ANY LOSS OF BUSINESS, PROFITS, REVENUE OR ANTICIPATED SAVINGS, RESULTING FROM OUR OBLIGATIONS UNDER THESE TERMS; AND (B) OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE ORIGINAL PURCHASE PRICE OF THE PLAN INCLUDING TAXES. THE LIMITATIONS IN THIS SECTION WILL NOT LIMIT OR EXCLUDE LIABILITY CAUSED BY OUR GROSS NEGLIGENCE, WILLFUL MISCONDUCT OR FRAUD.
  8. Dispute Resolution; Applicable Law.  
    1. You and Specialized agree that all disputes regarding your use of the Plan (collectively, “Claims”) shall be resolved by binding arbitration, which is an alternative to a trial by jury.  The arbitration shall be before one (1) retired Superior Court Judge in Santa Clara County, California, in accordance with the Rules of the American Arbitration Association then in effect (“AAA Rules”).  The applicable law shall be California law, without reference to its conflicts of laws provisions.  You and Specialized agree that any decision by the arbitrator shall be final and binding. If a party does not appear or participate in the arbitration following notice, the arbitration may proceed by default. The parties understand and agree the arbitrator, and not any court or agency, shall have sole and exclusive authority to resolve any dispute relating to the construction, interpretation, validity, performance, applicability, enforceability, breach, or formation of this Plan. This includes any claim that all or any part of this Plan is void or voidable. The parties hereby consent to the exclusive jurisdiction of the courts of the State of California or (if there is jurisdiction) any Federal Court in the State of California for any action (i) to compel arbitration, or (ii) prior to the appointment of the arbitrator, for temporary, interim or provisional remedies.   The Parties further stipulate to personal jurisdiction in California and agree to waive their right (if any) to raise personal jurisdiction as a defense to any action or proceeding initiated in California pursuant to this Agreement. Each party agrees to bear their own attorney’s fees and costs.
    2. Neither you nor Specialized may act as a class representative, nor participate as a member of a class of claimants, with respect to any Claim.  Claims may not be arbitrated on a class or representative basis.  The arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated.
    3. Further, it is agreed that the language in these Terms shall be interpreted as to its fair meaning and not strictly for or against any party.  You stipulate to personal jurisdiction in California and agree to accept service of process by registered or certified mail.
    4. THIS SECTION LIMITS CERTAIN RIGHTS, INCLUDING THE RIGHT TO MAINTAIN A COURT ACTION, THE RIGHT TO A JURY TRIAL, THE RIGHT TO PARTICIPATE IN ANY FORM OF CLASS OR REPRESENTATIVE CLAIM, THE RIGHT TO ENGAGE IN DISCOVERY EXCEPT AS PROVIDED IN THE AAA RULES, AND THE RIGHT TO CERTAIN REMEDIES AND FORMS OF RELIEF.  OTHER RIGHTS THE PARTIES WOULD HAVE IN COURT MAY ALSO NOT BE AVAILABLE IN ARBITRATION.
  9. Severability.   In the event that any provision of these Terms is held or determined by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions of these Terms shall remain in full force and effect and such invalid or unenforceable provision shall be construed in a manner so as to give the maximum valid and enforceable effect to the intent of the parties expressed in these Terms.
  10. Amendments.   We reserve the right to amend or make any changes to these Terms at any time and from time to time without prior notice.
